Terms of Service for Hello Frank AI, Inc.

These Terms of Service ("Terms") constitute a legal agreement between you ("you" or "User") and Hello Frank AI, Inc. ("Hello Frank AI," "we," "our," or "us"). By accessing or using our AI-powered financial analysis tool, platform, or any related services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Services.

1. Acceptance of Terms

By using the Services, you:

• Acknowledge that you have read, understood, and agree to be bound by these Terms
• Consent to the collection and use of your information as set forth in our Privacy Policy
• Confirm that you are of legal age to form a binding contract and are authorized to use the Services on behalf of your organization

2. License to Use the Services

Subject to your compliance with these Terms, Hello Frank AI grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business purposes, according to the specifics of your subscription plan.

3. Intellectual Property

• Our Rights: We retain all rights, title, and interest in and to the Services, including the Hello Frank AI name, logo, branding, all underlying software, technology, algorithms, and documentation. These are protected by copyright, trademark, and other intellectual property laws.
• Your Rights: You retain all ownership rights to your financial data and any other content you provide to the Services ("User Content"). The financial analyses, reports, and insights generated by the Services based on your User Content are your property. We claim no ownership over your User Content or the specific outputs generated for you.

4. Data Usage and AI Training

• Data Collection: We collect and process your financial data and usage data as described in our Privacy Policy to provide and improve the Services.
• AI Model Improvement: To enhance the accuracy and capability of our AI models, we may use anonymized and aggregated data derived from User Content. You can opt out of having your data used for model training by contacting us. For enterprise customers, this can be specified in a separate data processing agreement.

5. User Accounts

• Account Security: You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
• Account Responsibility: You are responsible for ensuring that the information you provide is accurate and for maintaining the permissions necessary to connect your financial accounts (e.g., Xero, QuickBooks, bank accounts) to our Services.
• Termination: We reserve the right to suspend or terminate your account if you violate these Terms. You may delete your account at any time by contacting our support team.

6. Acceptable Use

You agree not to use the Services to:

• Upload or transmit any data that is unlawful, or that you do not have the right to use
• Reverse-engineer, decompile, or otherwise attempt to discover the source code of the Services
• Disrupt the integrity or performance of the Services or overload our infrastructure
• Use any automated tools to scrape or access the Services without our express written permission
• Violate any applicable local, state, national, or international law

7. Subscription, Pricing, and Payments

• Plans and Billing: Our Services are provided on a subscription basis. You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Your subscription will automatically renew at the end of each Billing Cycle unless you cancel it.
• Cancellation: You may cancel your subscription renewal at any time. The cancellation will take effect at the end of the current Billing Cycle.
• Refunds: All fees are non-refundable, except where required by law or at our sole discretion.

8. Disclaimer of Financial Advice

The Services are intended to provide financial analysis and clarity based on the data you provide. Hello Frank AI is not a financial advisor, and the Services do not constitute financial, accounting, or legal advice. All insights and reports are for informational purposes only. You are solely responsible for your financial decisions and business outcomes.

9. Disclaimers and Limitation of Liability

• Disclaimer of Warranties: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
• Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HELLO FRANK AI, ITS AFFILIATES, OR ITS DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES OR ANY RELIANCE ON THE INFORMATION PROVIDED BY THE SERVICES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THE USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnity

You agree to defend, indemnify, and hold harmless Hello Frank AI and its employees, officers, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of the Services or your violation of these Terms.

11. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
